QUALIFICATIONS AND JOB DESCRIPTION
Polat Enerji, a major renewable energy company in Turkey, is looking for a Legal Counsel for its Head Office in İstanbul - Kağıthane.
QUALIFICATIONS
- University Law Degree from a reputable university, preferably with an LLM degree from a common law jurisdiction
- Minimum 7 years’ experience in legal practice, in a leading reputable law firm advising foreign investors and/or as an in-house lawyer in an international company, preferably in the energy field
- Experience in advising on legal issues in electricity market and more particularly in renewables
- Strong command of ethics & compliance matters under high international standards
- Excellent Turkish legal fundamentals including commercial law, corporate law, labour law, contract law as well as Turkish tax legislation
- Expertise in legal aspects of project finance (including negotiations of facility agreements and security packages), contract management expertise (ideally in Turkish electricity market including negotiating EPC contracts / construction contracts)
- Strong negotiation skills
- Result-oriented, analytical thinking, able to manage multiple tasks in a dynamic corporate environment. Adaptable and business minded team player
- Good organization skills, ability to set priorities, and meet deadlines
- Excellent interpersonal and communication skills, with high level of proficiency in verbal and written English
- Ability to complete the assignments without external assistance
- Professional knowledge in Microsoft Office (Word, Excel and PowerPoint)
- No restrictions for domestic and international travel
- Willing for long term commitment with the company
- Preferably residing on the European side of İstanbul with easy access to Kağıthane
- No military obligations for male candidates
JOB DESCRIPTION
Reporting to the CFO, the Legal Counsel is responsible for all the legal and compliance matters related to Polat Enerji and its subsidiaries.
His/her main functions are:
- Provide business-oriented legal advice to all departments (Human Resources, Finance, Procurement, Business Development, Insurance, Energy Trading etc.) to facilitate business objectives, especially drafting, reviewing and negotiation of all legal documents and providing transactional support
- Ensure corporate compliance of group companies (general assembly of shareholders meetings, Board resolutions, signature circulars, Branch registrations, etc.). Preparation of minutes of board meetings. Hands-on experience with MERSİS
- Coordinate Merger & Acquisitions activities and provide legal support to potential acquisitions and disposals, including drafting and negotiation of the relevant agreements (letter of intent, due diligence, share purchase agreement, shareholders’ agreement, dominion agreement, regulatory approvals including Competition Authority, etc.)
- Provide legal support to real estate, permitting, environmental, energy supply and other regulatory matters
- Responsible for legal matters of financing agreements
- “Local Compliance Officer” in liaison with international shareholders. Responsible for implementation of corporate governance rules, and ethics and compliance program of the group. First contact for data privacy matters
- Anticipate and mitigate potential legal risks
- Develop and maintain contract templates together with the Procurement Department
- Daily follow-up of legislation, maintain and share up-to-date knowledge of Turkish legislative and regulatory developments related to the operations of the companies. Conduct periodical in-house legal trainings
- Liaise with and supervise external counsel for legal proceedings involving companies, including administrative legal proceedings and litigation
